Welcome to Seonio, a keyword research and SEO tool provided by Foundea GmbH ("Foundea", "we", "our", or "us"). By accessing or using our website at seonio.com (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree with these Terms, please do not use our Service.

1. Acceptance of Terms

By using the Service, you confirm that you have read, understood, and agreed to these Terms. Your continued use of the Service constitutes your acceptance of any future updates.

2. Changes to the Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page and become effective immediately. Please review the Terms periodically for updates. For material changes, we’ll notify you in-app or by email at least 14 days before they take effect (unless required sooner by law or for security).

3. Description of the Service

Seonio is a SaaS tool offering keyword research and SEO analysis. Our Service includes both free and subscription-based features. Please note that:

• The Service is provided on a best effort basis, and we do not guarantee any specific performance or accuracy of data.
• All data and insights provided are for your personal or internal business use only.

4. User Accounts and Security

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the confidentiality of your account credentials.
• Notify us immediately of any unauthorized use or security breach.

5. Subscription, Payment, and Refunds

Billing & renewal. Plans are billed at the start of each billing period and renew automatically unless you cancel before the renewal date.
Changing plans. You can upgrade or downgrade anytime in your account. Upgrades take effect immediately and are prorated for the rest of the current period. Downgrades apply at your next renewal.
Cancellation. Cancel anytime from your account settings. You’ll keep access to paid features until the end of your current billing period, then your account switches to the Free plan.
Refunds. We offer a full refund within the first 7 days of your first purchase. After 7 days, subscriptions are non-refundable.
Usage meters. Searches are limited per plan and per tool. Limits reset every 24 hours and unused searches don’t roll over. Your dashboard shows today’s used/remaining searches and your past usage.
Free plan. Try Seonio on the Free plan—5 searches/day total across tools—no credit card required.
Statutory cancellation/withdrawal rights (where applicable) remain unaffected.

6. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes. In particular, you must not:

• Engage in any activity that could damage, disable, or overburden the Service.
• Attempt to gain unauthorized access to any part of the Service.
• Scrape, extract, or harvest data from the Service.
• Use automated means (bots, scripts, crawlers) to access the Service without our prior written permission.
• Resell, redistribute, or otherwise transfer the Service or its data in any shape or form; the Service is provided solely for your personal or internal business use.

7. License and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. You are not permitted to:

• Modify, copy, or create derivative works from any part of the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Attempt to circumvent any restrictions or security measures implemented on the Service.

This license will automatically terminate if you violate any of these restrictions.

8. Intellectual Property

All content, software, and materials provided through the Service are owned by Foundea GmbH or its licensors and are protected by intellectual property laws. You may not copy, modify, or distribute any proprietary materials without our express written permission.

9. Data Use and License

Any data, insights, or reports generated by Seonio are provided solely for your personal or internal business use. You are granted a non-transferable license to use such data, and you may not resell, redistribute, or republish it in any form without our prior written consent.

10. Termination

We reserve the right to suspend or terminate your access to the Service at our discretion if you breach these Terms. Upon termination, your right to use the Service will immediately cease, although certain provisions (such as those regarding intellectual property, disclaimers, and indemnification) will survive.

11. Disclaimers and Limitation of Liability

The Service is provided ‘as is’ and ‘as available’. We do not exclude or limit liability for intent or gross negligence, for injury to life, body, or health, or under the German Product Liability Act. For slightly negligent breaches of essential contractual duties (Kardinalpflichten), our liability is limited to the foreseeable, typical damage. Otherwise, we exclude liability for slight negligence.

12. Indemnification

You agree to indemnify and hold harmless Foundea GmbH, its affiliates, employees, and agents from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms. Foundea GmbH will perform only the absolute legal minimum required and does not undertake any additional obligation to defend, indemnify, or reimburse you for any claims, including those arising from alleged gross negligence or willful misconduct.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Germany. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of Ulm, Germany.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. We will process any personal data in accordance with applicable data protection laws and will never sell your information to third parties.
